Deloitte is seeking a qualified candidate for the USAID State-Owned Enterprises Reform Activity in Ukraine (Ukraine SOERA) to serve as a Privatization Lawyer supporting the State Property Fund of Ukraine (SPFU).

Project Background and Summary:

The purpose of Ukraine SOERA is to strengthen public sector business operations and transparency, improving governance and oversight, advancing privatization of State-Owned Enterprises (SOE, and developing a strategic management model for SOEs remaining in state ownership. Smart reform and targeted privatization of Ukraine’s SOEs will reduce opportunities for corruption, increase private sector participation, and stimulate broad-based economic growth. Objectives to be achieved by this activity will include:

1.    SOE Mapping, Information, and Strategy.

2.    Reform Coordinating Mechanism (RCM) and Strategic Communications.

3.    Reviewing and Improving SOE Policies, Legislation, and Regulations.

4.    Facilitating SOE Privatization.

5.    Improving Corporate Governance and Management of SOEs.

6.   Providing Emergency Response and Recovery Preparation Technical Assistance to the Government of Ukraine (GOU) and SOEs.

Objective:

The State Property Fund of Ukraine has relaunched privatization and leasing in 2022 after a hiatus due to Russian aggression. As the SPFU adapts to the changing wartime environment, it is constantly improving its internal privatization and leasing processes. It is constantly facing new challenges in managing the privatization, leasing, and post-privatization processes. It will have an expanded role in the managing and disposal of assets seized under the Law on Sanctions.  It requires additional legal support for the development of policies, legal documents, internal regulations to improve its work on privatization, leasing, and managing SOEs and assets seized from the RF.

 Responsibilities:

1) Advise on the legal aspects of privatization and leasing of state-owned assets, including post-auction SOE legal issues

2) Support continued development of privatization and leasing policies

3) Develop procedures and internal SPFU policies related to the privatization and leasing process, ensuring compliance with relevant laws and regulations.

4) Work closely with other the SPFU departments and agencies, as well as with external advisors, to address legal issues arising during the privatization and leasing processes and to ensure a smooth transition of ownership/management.

5) Support in drafting privatization and lease agreements and other legal documents

6) Conduct legal research and analysis to ensure SPFU compliance with applicable laws and regulations, including securities laws, competition laws, and tax laws.

7) Advise on the structuring of privatization and leasing transactions, including PPPs

8) Monitor and evaluate the compliance of privatized entities with contractual obligations

9) Support resolution of and policy development for legal issues arising in the privatization and post-privatization process.

10) Develop internal procedures for receiving, managing, and disposing of assets seized from the RF or its citizens or from sanctioned entities or in accordance with criminal cases

Position Requirements:

       Degree in law.

       Fluent Ukrainian and strong written and verbal communication skills in English

       Ability to work well in a team.

       Excellent planning and time management skills.

       Excellent writing skills

       Experience in the field of SOE reform, corporate governance, public property management or privatization

       Experience in technical assistance work is preferred.

       3 years experience in a similar position
