Description of Requirement: To acquire the services of a Kenyan Law Firm on an emergency basis and on as-needed basis to provide advice and counsel on legal questions involving USAID/Kenya which may arise from time to time.

The objective of the contract is to obtain:

1. Written and oral legal advice concerning ongoing negotiations on bilateral agreements.
2. Written and oral legal advice concerning ongoing negotiations on value added tax, customs tax and any other taxation of USAID/Kenya programs.
3. Written and oral legal advice related to devolution and the authority of the national government and county governments.
4. Written and oral legal advice concerning legal issues relating to registration of implementing partners with the non-governmental organization board.
5. Written and oral legal advice related to general legal guidance on all areas of USAID's technical and support offices work.
6. Written and oral legal advice concerning questions involving local laws which may arise from time to time. Legal advice may be required regarding Kenyan law on such topics as labor/employment, real property, tax, tort, contract, project finance, bond issues, legislative or administrative or judicial matters.
